These Terms & Conditions ("Terms") govern your access to and use of our website, services, and AI-powered tools (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.

1. User Accounts & Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• Brand Accounts: Created for businesses, agencies, or individuals seeking to hire influencers for brand promotions.
• Influencer Accounts: Created for individuals (creators) seeking to monetize their content and collaborate with brands.
• Account Security: You are responsible for all activities that occur under your account, whether or not you know about them. You must notify us immediately of any unauthorized use of your account.

2. Use of Data and AI Features

Our Platform connects Brands and Influencers using proprietary tools, including an AI-powered recommendation engine ("AI Find"). To provide this service, you grant us certain rights to use your data.

• Data You Provide: This includes registration details (name, email, contact number), brand information (company name, campaign goals, product details), and influencer information (username, platform handles, audience demographics, follower counts, pricing).
• License to Use Data: You grant Isolatedstudy Influencer a non-exclusive, worldwide, royalty-free license to use, copy, modify, and analyze the data you provide. This use is strictly for the purposes of:
  • Operating and improving the Platform.
  • Training and operating our **AI-powered recommendation engine** to "get the best results" and provide accurate matches.
  • Connecting influencers with brand campaigns that match their profile.
  • Generating aggregated, anonymized statistics for marketing and platform analytics.
• Privacy: We will not sell your personal, non-public contact information to third parties. Our use of data is governed by our Privacy Policy [You must create this page].

3. Intellectual Property Rights

• Our Platform: We own all rights, title, and interest in and to the Platform, including our AI, branding, code, and "look and feel." You may not copy, modify, or reverse-engineer any part of our Platform.
• Your Content: You (as an Influencer or Brand) retain ownership of all intellectual property rights in the content you upload to the platform (e.g., portfolio images, campaign briefs), defined as "User Content."

4. User-Generated Content & Licenses

This section governs the content created during a collaboration.

• For Influencers: By accepting a campaign, you agree to create and deliver the specified content ("Campaign Content"). You represent that you have all necessary rights to create this content and that it will not infringe on any third-party rights.
• License to Brand: Upon full payment by the Brand, you grant the Brand a limited, non-exclusive, royalty-free license to use, display, and distribute the Campaign Content for the specific purposes and duration outlined in the campaign agreement. Any use outside of this agreement (e.g., in a different medium or for a longer duration) requires your separate permission and may require additional fees.

5. Payments and Fees

We facilitate payments between Brands and Influencers through a secure payment processor or escrow service. Brands are responsible for paying all agreed-upon fees for campaigns. Influencers agree that our platform fee will be deducted from their total payout.

You agree to provide valid payment information and authorize us to charge your payment method. All fees are non-refundable except at our sole discretion or as required by law.

6. Prohibited Conduct

You agree not to do any of the following:

• Post any false, misleading, fraudulent, or deceptive information (e.g., fake follower counts, false engagement).
• Use the Platform for any illegal activity or to violate any local, state, national, or international law.
• Harass, threaten, stalk, or defame any other user.
• Circumvent our platform by contacting users outside the platform to avoid fees.
• Distribute spam, chain letters, or unsolicited advertising.
• Use any bot, scraper, or other automated means to access the Platform for any purpose.
• Upload any content that is obscene, pornographic, violent, or discriminatory.

7. Termination of Account

We reserve the right to suspend or permanently terminate your account, at our sole discretion, without notice or liability, for any reason, including but not limited to:

• A breach of these Terms & Conditions.
• Providing false or misleading information.
• Engaging in fraudulent or illegal activities.
• Failing to respond to communications from our team or other users.
• Causing harm to our platform or our community.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ISOLATEDSTUDY INFLUENCER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; OR (C) ANY DISPUTE BETWEEN YOU AND ANY OTHER USER OF THE PLATFORM.

WE ARE A PLATFORM FOR CONNECTION AND DO NOT GUARANTEE THE QUALITY OF AN INFLUENCER'S WORK OR THE SUCCESS OF ANY CAMPAIGN.

9. Indemnification

You agree to defend, indemnify, and hold harmless Isolatedstudy Influencer and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including any intellectual property or privacy right.
• Any claim that your User Content or Campaign Content caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Platform.

10. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration, rather than in court. This agreement to arbitrate is intended to be broadly interpreted.
